Irish Revenue release updated draft Regulations and Guidance on the implementation of FATCA in Ireland
Ireland concluded an Intergovernmental Agreement with the United States in December 2012 to implement FATCA (Foreign Account Tax Compliance Act).The legislation to implement the Agreement was contained in Finance Act 2013 and accompanying regulations and guidelines were first published in draft form in May 2013. Revised draft guidance notes have now been developed and this Newsbrief examines the changes since the previous version. It also refers to the introduction of the Common Reporting Standard and the steps that financial institutions should take to prepare.

Soon to be released ‘Common Reporting Standard’ promises new FATCA-type obligations around the world
The starting date for various obligations under the Foreign Account Tax Compliance Act (FATCA) is 1 July 2014. Some associate this date with a long and weary process that started back in 2010 with the passage of the United States HIRE Act, but it also marks a milestone in the ever increasing movement towards greater tax transparency. Even before this date, another significant milestone is set to occur - the release of the Common Reporting Standard (CRS) in February 2014 by the Organisation for Economic Co-operation and Development (OECD). Like US FATCA, the CRS will require financial institutions around the globe to play a central role in providing tax authorities with greater access and insight into taxpayer financial account data including the income earned in these accounts.

The Netherlands and the United States sign a bilateral FATCA Intergovernmental Agreement
On 18 December 2013, the U.S. Chargé d’Affaires ad interim and the Dutch State Secretary for Finance signed an intergovernmental agreement (the Netherlands-US IGA) under the provisions commonly known as the Foreign Account Tax Compliance Act (FATCA).

The Netherlands-US IGA is based on the standard Model 1A IGA of November 4, 2013. While the IGA closely follows the standard Model 1A IGA, the Annex II provides for specific exclusions for Dutch products and entities that are considered to present a low risk of US tax evasion.

Return of Values for Irish investment undertakings (S891C TCA)
The Return of Values (Investment Undertakings) Regulations 2013 (“the Regulations”) were published in July 2013. These were supplemented in August 2013 by Guidance Notes, as well as a “File Specification and Guide” detailing the electronic format of the reporting of the relevant information to Revenue.

The regulations and guidance notes set out the practical framework for the implementation of the provisions of S891C TCA, introduced by Finance Act 2012, which require Irish investment undertakings to make annual electronic returns to the Revenue Commissioners in relation to the value of investments held by certain investors.

The purpose of this bulletin is to explain the scope of the reporting requirements and the logistics of how the reporting will work in practice.

US government announces six-month extension to FATCA effective dates
On 12 July 2013, the Internal Revenue Service (IRS) and the US Department of the Treasury (Treasury) issued Notice 2013-43 (Notice) announcing revised timelines for implementing various provisions under the Foreign Account Tax Compliance Act (FATCA). By extending the timelines, the Notice also provides 1) the IRS more time to issue the necessary forms, guidance, clarification and interpretation, 2) Treasury and potential FATCA partners more time to agree and sign intergovernmental agreements (IGAs) and 3) entities around the world more time to implement changes in order to be FATCA / IGA compliant.

AIFMD - ESMA Guidelines finalised: Final report published on Guidelines on sound remuneration policies under the AIFMD
The European Parliament's Economic and Monetary Affairs Committee (ECON) voted on 21 March 2013 to cap fund managers' bonuses at 100% of salary, similar to the rules on bankers' pay which were passed in recent weeks by the EU as part of the CRD IV.If passed unchanged, the proposed amendments would result in remuneration regulations under UCITS V that are more onerous than those under AIFMD, CRD III and CRD IV and would result in asset management businesses managing UCITS products facing even tougher rules than the banking sector. These considerations, including the lack of flexibility to increase variable awards and the expanded definition of Identified staff together with other remuneration requirements are summarised in further detail in the attached bulletin.

AIFMD - ESMA Guidelines finalised: Final report published on Guidelines on sound remuneration policies under the AIFMD
The European Securities and Markets Authority (ESMA) published its final guidelines on sound remuneration policies under the Alternative Investment Fund Managers Directive (AIFMD) on 11 February, 2013. These guidelines follow a consultation paper that was released in June 2012. On review of the final guidelines it appears that the ESMA has reaffirmed much of the draft regulation that was initially proposed. However, the guidelines do provide further clarity on certain key aspects of scope, proportionality, and remuneration structures that may have a significant impact on some firms.

The European Commission (EC) finally published its delegated acts (the Level 2 Regulation) under the Alternative Investment Fund Manager's Directive (AIFMD) on 19 December 2012.

The Level 2 Regulation provides the long awaited detail behind many of the elements of AIFMD, which fund managers and service providers needed before they can design and fully implement AIFMD change plans.

OECD publishes long anticipated commentary on Common Reporting Standard
The Organisation of Economic Cooperation and Development (OECD) on 21 July 2014 released the Standard for Automatic Exchange of Financial Account Information in Tax Matters, including the Commentary on the Common Reporting Standard (CRS). CRS seeks to establish the automatic exchange of tax information as the new global standard. The automatic exchange of information involves the systematic and periodic transmission of ‘bulk’ taxpayer information from the country which is the source of the payment to the taxpayer’s country of residence. The published Commentary is the OECD’s interpretative guidance on the CRS model.

European Commission seeks to expand automatic information exchange between EU Member States
On 13 June 2013 European Union (EU) Tax Commissioner Algirdas Šemeta presented a Proposal for a Council Directive intended to combat tax evasion by expanding the scope of the automatic exchange of information (“AEOI”) between EU Member States on “dividends, capital gains, all other financial income and account balances” and is planned to take effect from January 2015 related to the taxable period from 1 January 2014. Such an enhanced exchange of information would result in the EU having the most comprehensive tax information exchange system in the world and is intended to set the global standard for other nations to adopt in the future.
