Overview

Keeping pace with the expectations, requirements and limitations of finance providers and understanding how best to work with the market to achieve growth is an increasingly important need for business. This is an issue faced by public and private companies, private equity sponsored businesses and the government sector.

Potential issues

Some of the issues you might be facing include:

  • Securing funding: You may be refinancing existing loan facilities or getting additional funding to allow your business to expand organically or by acquisition. In these circumstances you have a range of debt and equity solutions available to you and you need help in assessing the approach that best suits your business.
  • Negotiation: If you are refinancing you are likely to be involved in negotiating amendments to existing financing terms (including covenant amendments and waivers) or helping potential new debt providers to get familiar with your business.
  • Competitive tenders: You may want to conduct competitive tenders for the provision of both debt and equity financing solutions.
  • Debt restructuring: If you are in a restructuring scenario you may be considering a debt for equity swap and you will want to ensure that the associated valuation and other key commercial terms are negotiated to best protect your interests.
  • Relationship management: Your relationships with your finance providers are key and you may want support in managing those relationships and also with your interaction with other relevant parties including ratings agencies and advisors to your funders.

We have experience across the full range of debt markets including banking, capital markets, asset-based lending, securitisation and project finance and we also have relationships with a wide range of potential equity providers.

Our approach is to work in close partnership with senior management and the Board from an early stage to develop a comprehensive set of potential financing solutions. We then work with you to assess each option and assist senior management to implement the preferred solution.

We work with companies and their sponsors throughout the credit spectrum, from investment grade to those with stressed balance sheets. Our approach is to offer comprehensive and integrated advice on related tax, legal and regulatory issues. Our advice is independent and unbiased by ties to specific financing sources or products.
