PwC’s new report, Closing is just the Beginning, examines why integration is the critical value lever in aircraft leasing M&A. Aircraft scarcity, the cost of capital, platform economics, fleet transition, and capital diversification are driving consolidation as lessors pursue the scale needed to compete.

However, signing the deal doesn't secure its value. Drawing on our experience of supporting five aircraft leasing integrations with a combined transaction value of more than $40 billion, the report identifies three priorities for successful execution:

  1. Clear integration leadership and accountability from day one;
  2. A data strategy that supports the combined business; and
  3. Proactive management of people, culture, and key-person risk.

It also considers the decisions that need to be addressed before signing, including tax and accounting diligence, and highlights common integration risks such as under-resourced plans, unclear communication, and disconnected workstreams. These issues can delay decisions, weaken coordination, and put the deal thesis at risk.

Whether you're pursuing a horizontal merger, consortium structure, or sidecar vehicle, closing is the starting point. Download the report below to explore the practical governance, data, and people priorities that can help turn an aircraft leasing transaction into sustainable value.
